Abincii Terms of Use

1. Acceptance of Terms

By using the Abincii Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any applicable laws and regulations. If you are using the Services on behalf of a business or entity, you represent that you have the authority to bind that organization to these Terms.

Abincii offers a range of software solutions aimed at helping restaurant owners and managers optimize their daily operations. Our Services include but are not limited to:

• A holistic Restaurant management solution to manage and streamline your restaurant operations.
• Integrated Mobile Applications for managers, waiters, customers, kitchens, bars, and tables, to streamline every aspect of restaurant management, ensuring smooth operations.

3. User Eligibility and Account Registration

To use Abincii, you must be at least 18 years old, or the legal age of majority in your jurisdiction. By using our Services, you confirm that you meet this requirement.

To access certain features, you must create an account. During registration, you agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential and not share them with others.
• Notify us immediately of any unauthorized use of your account.

For registration, you are required to provide the following information to enable us onboard you:

• Your full name, email address and phone number
• The name of your restaurant
• The location of your restaurant
• The type of restaurant you operate
• The services you require from Abincii

Abincii will use this data to manage billing from your Abincii to comply with these obligations.

4. Acceptable Use Policy

When using our Services, you agree to:

• Use the Services only for lawful purposes.
• Not engage in fraud, misrepresentation, or unauthorized activities.
• Refrain from uploading any content that is offensive, defamatory or infringes on the rights of others.
• Not attempt to hack, disrupt, or compromise the integrity of our services.
• Avoid using automated systems (e.g., bots) without prior authorization.

5. Intellectual Property Rights

All content on the Abincii platform—including software, text, graphics, logos, images, and trademarks—is owned by Abincii and is protected by intellectual property laws.

Abincii grants you a non-exclusive, non-transferable, revocable license to use the Service solely for your business purposes. You may not:

• Reproduce engineer or attempt to extract source code from our software.
• Use our trademarks or logos without explicit consent.

6. User-Generated Content

If you submit content (e.g., reviews, feedback, photos), you are solely responsible for ensuring it:

• Is accurate and truthful.
• Does not infringe on the rights of third parties.
• Is not offensive or illegal.

By submitting content, you grant Abincii a worldwide, royalty-free, perpetual license to use, reproduce, display, and distribute your content for promotional or operational purposes.

7. Payment Terms

Abincii offers flexible payment options. By purchasing, you agree to:

• Pay all applicable fees promptly.
• Provide us with a valid payment method for recurring subscriptions or one-time fees.

We reserve the right to modify pricing. You will be notified of changes, and continued use after price adjustments constitutes acceptance.

Refunds may be considered where stated otherwise or as required by law.

8. Limitation of Liability and Disclaimers

Abincii Services are provided "as is" and "as available" basis. We do not guarantee that the Services will be error-free, uninterrupted, or meet all your expectations.

To the fullest extent permitted by law:

• Abincii shall not be liable for incidental or consequential damages arising from your use of our Services.
• Our total liability for claims under these Terms will not exceed the amount you paid to the Services in the 12 months preceding the claim.

9. User Representations & Warranties

By accessing our services and operations, you promise made by you. In return which we rely on as being accurate in our dealings with you. You make the following representations and warranties:

• You have the legal capacity and authority to enter into this Agreement.
• Your use of our Services will fully comply with all laws of the country of your residence.

• You will not use our Services in any way that may infringe on the intellectual property rights of others.

10. No Exclusivity

These Terms for the provision of the Services, which are now the rights of Abincii to provide similar services to other businesses in your sector.

Abincii may terminate or suspend your access to the Services if:

• Breach these Terms
• Engage in fraudulent or harmful behavior
• Fail to pay applicable fees

You agree to indemnify and hold harmless Abincii, its affiliates and subsidiaries, its officers, directors, employees and agents, against all liabilities, costs and expenses (including reasonable legal fees) and against:

• Any inaccurate or incomplete information that you have knowingly provided to us;
• Your sharing any third person's data without their permission or consent or on a basis of your failure to keep your username and password secure;

Abincii shall not be liable or deemed to be in default for any delay or failure to perform its obligations hereunder if such delay or delay shall be due to natural disasters, war, civil commotion, weather, pandemics, sanctions, labor disputes, failure of public infrastructure or any other cause beyond its reasonable control.
